Terms of Service

Welcome to WebDesignForAll. These Terms of Service ("Terms") govern the website design, hosting, and maintenance services provided by WebDesignForAll ("Provider", "we", "us", or "Michael") to the client ("Client" or "you"). By subscribing to our services, you agree to these Terms.

1. Services Provided

We agree to build, host, and maintain a custom website for the Client. The subscription includes:

• Custom website design and development.
• Premium hosting and SSL Certificate management.
• 24/7 basic website monitoring and support.
• Ongoing website edits and updates.

2. Project Timeline & Edits

Delivery: We will complete the initial website build within 31 calendar days of receiving your first monthly payment.

Revisions & Edits: Standard website edits will be completed within 4 business days of receiving your request.

Scope of Edits: Included maintenance covers unlimited standard edits (changing text, swapping images, etc.). It does not include creating entirely new pages or adding complex new custom functionalities.

3. Client Responsibilities

To ensure the project is successful, the Client agrees to:

• Provide all necessary materials (text, images, logins) in a timely manner.
• Ensure that any materials provided do not infringe on the copyrights or intellectual property of third parties.
• Review and approve the finished website upon delivery.

4. Payments & Commitment Terms

Monthly Fee: The Client agrees to pay the agreed-upon monthly subscription fee (e.g., [Monthly Rate, e.g., $80]).

Billing Cycle: Payments are due on a monthly basis, no later than the 21st day of the billing month. The initial build process begins only after the first month's payment is made.

Term Length: Your specific proposal or agreement will state whether your plan is month-to-month or requires a minimum commitment (e.g., 12 months).

Auto-Renewal: For month-to-month plans, or after any initial minimum term is completed, the agreement automatically continues on a month-to-month basis. Either party may cancel by providing 30 days' written notice.

5. Intellectual Property & Ownership

Code & Design Ownership: All copyrights to the website’s design, code, and structure remain the property of WebDesignForAll.

Licensing: As long as the Client is up-to-date on their monthly payments, they are granted a non-exclusive license to use the website for their business.

Restrictions: The Client may not copy, migrate, modify, or use the website (or its parts) on other servers or for other purposes without express written consent from the Provider.

6. Cancellation, Refunds, & Buyout Policy

14-Day Satisfaction Guarantee: If the Client is unsatisfied with the website design within 14 days of final delivery, and the Provider is unable to meet the Client's expectations, the contract may be mutually terminated. In this event, the Provider will refund the Client’s first monthly payment.

Standard Cancellation: If you are on a standard month-to-month plan, you may cancel at any time with 30 days' written notice without any buyout fees.

Early Cancellation / Buyout (For Minimum Commitment Plans Only): If your specific agreement includes a minimum term (e.g., 12 months) and you wish to cancel before that term is completed, or if you stop making payments, you are required to pay a buyout compensation fee of [Standard Buyout Fee, e.g., $1920], minus the sum of the monthly payments already made.

Late Payments: If the Client's payment is more than 2 months past due, the Provider reserves the right to suspend the website’s operation and/or terminate the agreement. If the Client is under a minimum commitment plan, the early cancellation buyout fee will apply.

7. Liability & Warranties

Limitation of Liability: The Provider is not financially liable for any direct or indirect business losses, lost profits, or damages related to the use or inability to use the website.

Maximum Liability: The maximum total liability of the Provider under this agreement shall not exceed the sum of 6 months of the Client's subscription fees.

Force Majeure: Neither party is financially liable for failing to fulfill obligations due to unforeseen "force majeure" circumstances (e.g., natural disasters, widespread internet outages).

8. Confidentiality

Both parties agree to keep any confidential business information, logins, or data shared during the course of this project private and will not disclose it to third parties without written consent.

9. Dispute Resolution & Governing Law

We prefer to solve any issues directly with you! All disputes arising from this agreement will first be attempted to be resolved through good-faith negotiations. If a dispute cannot be resolved within 30 days, it shall be submitted to the courts of the Republic of Lithuania, in accordance with Lithuanian law.
